Preamble

These Terms & Conditions (hereinafter the “Terms”) govern participation in the B2B affiliate referral program (the “Affiliate Program”) operated by Holihouse Private Capital Company (Holihouse IKE), hereinafter referred to as “Holihouse”.

Participation in the Affiliate Program constitutes the full, explicit, unconditional and irrevocable acceptance of these Terms, as in force from time to time.

1. Legal Nature of the Program

The Affiliate Program constitutes a voluntary, non-exclusive B2B referral program.

It is expressly agreed that participation:

• does not constitute a brokerage, agency, mandate, partnership, employment or representation relationship,
• does not grant the Affiliate Partner authority to bind or represent Holihouse in any manner,
• does not create any obligation for minimum volume, duration, or payment,
• does not entitle the Affiliate Partner to negotiate on behalf of Holihouse.

2. Definitions

For the purposes of these Terms:

• Affiliate Partner: Any professional or legal entity participating in the Affiliate Program.
• Referred Client (Referral): Any natural or legal person introduced to Holihouse by the Affiliate Partner.
• Referral: The submission of a Referred Client’s details through an approved Affiliate Program channel.
• Tier / Referral Bonus: The potential monetary reward assigned to a referral.
• Completed First Booking: A booking which has been fully completed, paid, not cancelled or refunded, where the guest has stayed at the property and from which Holihouse has successfully received its agreed commission.
• Potential Referral Bonus: A bonus that is not deemed due unless and until all conditions set forth herein are fully satisfied.

3. Eligibility & Participation

Participation is limited exclusively to professionals or legal entities that:

• operate lawfully,
• hold valid tax registration,
• are able to issue lawful tax invoices.

Holihouse reserves the absolute right to accept, suspend or terminate any Affiliate Partner’s participation at any time, without justification.

4. Representations & Warranties of the Affiliate Partner

The Affiliate Partner represents and warrants that:

• all information provided about themselves and about any Referred Client is true, accurate, complete and up to date,
• they have the lawful right to disclose such information,
• no third-party rights are violated,
• no misleading, deceptive or abusive practices are employed.

Holihouse bears no liability whatsoever for inaccuracies, omissions or misrepresentations in the information provided.

5. Referral Submission & Validity Review

Referrals:

• must be submitted exclusively via approved Affiliate Program channels,
• are reviewed based on chronological priority,
• are assessed for novelty and independence.

Holihouse retains the exclusive right to determine whether a referral is valid or invalid, without obligation to provide justification.

6. Evaluation of Referred Clients

Referred Clients are evaluated based on internal commercial and operational criteria, including indicatively:

• type and size of accommodation,
• commercial potential,
• operational complexity,
• projected performance.

Such evaluation does not constitute a commitment to enter into cooperation.

7. Tier Assignment

Referral bonus tiers are defined as follows:

• Tier 1: €200
• Tier 2: €300
• Tier 3: €400+

Tier assignment:

• occurs after completion of the Referred Client’s registration,
• is based on internal business criteria,
• constitutes a final, non-negotiable and non-contestable business decision of Holihouse.

8. Legal Nature of the Referral Bonus

The referral bonus:

• constitutes a potential and conditional benefit,
• does not constitute salary, commission, agency fee or guaranteed remuneration,
• does not give rise to a claim unless all Terms are fully satisfied.

9. Accrual of Payment Obligation

As a general rule, the referral bonus is linked to the Completed First Booking.

Holihouse may, at its discretion:

• issue payment earlier (e.g. upon registration completion),
• defer payment until booking completion,
• allow an additional settlement period of up to thirty (30) days.

Any early payment does not establish precedent or obligation.

10. Invoicing, Payment Process & Financial Settlement

Any referral bonus is payable exclusively via bank transfer, following issuance of a lawful tax invoice by the Affiliate Partner to Holihouse, indicating the applicable Tier amount plus VAT where applicable.

Holihouse reserves the right to review the invoice for accuracy, completeness and legal compliance.
In the event of errors, omissions or non-compliance, the payment deadline shall be suspended until rectification.

Payment shall be completed within thirty (30) days from receipt of a correct and complete invoice, provided all Terms have been met.

No delay shall give rise to interest, penalties or compensation claims.

11. Discretionary Review & Unforeseen Circumstances

The referral bonus may be reviewed or withheld in cases including but not limited to:

• booking cancellations or refunds,
• technical or operational issues,
• termination or alteration of cooperation with the Referred Client,
• market instability or unforeseen commercial conditions,
• conduct misaligned with the purpose or integrity of the Affiliate Program.

Holihouse reserves the right not to proceed with payment where, in its reasonable business judgment, the essential objectives of the program are not fulfilled.

12. Non-Harm & Conduct Clause

The Affiliate Partner shall refrain from any act or omission that may directly or indirectly harm the reputation, credibility or operational interests of Holihouse.

Any misleading, defamatory or unauthorized communication is strictly prohibited.
Violation results in immediate termination of participation and forfeiture of any potential bonus.

13. Intellectual Property, Trademarks & Branding

All intellectual and industrial property rights, including but not limited to trademarks, logos, trade names, marketing materials, website content and proprietary information, are the exclusive property of Holihouse.

No license or right of use is granted, expressly or implicitly.
Any use requires prior written approval and may be revoked at any time.

14. Data Protection

The Affiliate Partner bears sole responsibility for the lawful disclosure of any personal or business data provided.
Holihouse processes data in accordance with the GDPR and bears no liability for unauthorized or improper data disclosure by third parties.

15. Limitation of Liability

Holihouse shall not be liable for:

• loss of income,
• loss of profits,
• indirect or consequential damages.

Total liability shall in all cases be strictly limited to the amount of any referral bonus actually paid.

16. Modification, Suspension & Termination

Holihouse may amend, suspend or terminate the Affiliate Program at any time.
Continued participation constitutes acceptance of such amendments.

17. Governing Law & Jurisdiction

These Terms are governed by Greek law.
The courts of Kalamata, Greece, shall have exclusive jurisdiction.

18. Final Provisions

These Terms constitute the entire agreement between the parties.
Invalidity of any provision shall not affect the remainder.
Failure to exercise any right shall not constitute waiver.
The English text prevails unless otherwise required by law.
